SAIC Terms of Use

1. NOTICE SPECIFIC TO EVALUATION SOFTWARE AVAILABLE ON THIS WEB SITE.
This is an agreement ("Agreement") between you ("Licensee") and Science Applications International Corporation ("SAIC").
  1. LICENSE GRANT. Science Applications International Corporation ("SAIC") grants to Licensee a nonexclusive, non-transferable license ("License") to use one copy of the software (the "Software") evaluation version, in executable form, solely in conjunction with a computer system owned or leased by Licensee, and solely for the purpose of evaluating the Software. This license is limited in duration to a trial period starting from the date the Software is first executed and ending on the designated expiration date (the Trial Period). At the conclusion of this trial period the evaluation license will terminate, and Customer must either purchase a full license from SAIC, or cease using the Software and return all copies of the Software to SAIC.
  2. OWNERSHIP. The Software and documentation and all copies thereof are owned by SAIC and/or others from whom SAIC has obtained a respective licensing right, and are protected by copyright, trademark and trade secret laws and international treaty provisions. THE SOFTWARE IS LICENSED UNDER THE LIMITED TERMS SET FORTH HEREIN AND IS NOT SOLD.
  3. RESTRICTIONS. The Software is for evaluation purposes only. EXCEPT AS EXPRESSLY AUTHORIZED ABOVE, CUSTOMER SHALL NOT: COPY (IN WHOLE OR IN PART) THE SOFTWARE OR DOCUMENTATION; MODIFY OR CREATE DERIVATIVE WORKS OF THE SOFTWARE; ATTEMPT TO REVERSE ENGINEER, DECOMPILE OR REVERSE ASSEMBLE ALL OR ANY PORTION OF THE SOFTWARE; SUBLICENSE, RENT, LEASE, DISTRIBUTE, OR SELL THE SOFTWARE; OR ENABLE OR REQUEST ANY THIRD PARTY TO DO ANY OF THOSE ACTS.
  4. TERM. This Agreement is effective until the end of the Trial Period. Customer may terminate this Agreement at any time by notifying SAIC. SAIC, or any third party from whom SAIC may have obtained a respective licensing right, may immediately terminate this Agreement if Customer fails to comply with any term or condition. Upon any termination of this Agreement, Customer shall immediately discontinue all use of the Software and either return to SAIC or destroy all copies of the Software and printed materials.
  5. SAIC DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESSED OR IMPLIED, INCLUDING THOSE OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO SOFTWARE AND ANY ACCOMPANYING PRINTED MATERIALS. THE SOFTWARE IS PROVIDED "AS IS."
  6. LIMITATION OF LIABILITY. IN NO EVENT SHALL SAIC, OTHERS FROM WHOM SAIC HAS OBTAINED LICENSING RIGHTS, OR SAIC's SUPPLIERS, BE LIABLE WITH RESPECT TO THE SOFTWARE, ANY SUBJECT MATTER OF THIS SOFTWARE LICENSE AGREEMENT OR ANY RELATED PRODUCT ORDER UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY (A) FOR ANY INDIRECT, SPECIAL, CONSEQUENTIAL, OR INCIDENTAL DAMAGES INCLUDING, WITHOUT LIMITATION, LOST PROFITS OR LOSS OR DAMAGE TO DATA, (B) FOR COST OF PROCUREMENT OF SUBSTITUTE GOODS, SERVICES OR TECHNOLOGY, OR (C) FOR ANY MATTER BEYOND ITS REASONABLE CONTROL, EVEN IF SAIC HAS BEEN ADVISED OF THE POSSIBILITY OF ANY OF THE FOREGOING DAMAGES. IN NO EVENT WILL SAIC's LIABILITY EXCEED THE AMOUNT PAID BY CUSTOMER FOR THE SOFTWARE.
  7. THIRD-PARTY DISCLAIMER. Except as expressly agreed otherwise, third parties from whom SAIC may have obtained a licensing right do not warrant the Software, do not assume any liability with respect to its use, and do not undertake to furnish any support or information relating thereto.
  8. EXPORT. Customer will comply with all applicable export laws and regulations if it exports any of SAIC's products or documentation. This restriction shall survive termination of this Agreement.
  9. GOVERNMENT ACQUISITION OF COMMERCIAL ITEMS. Use, duplication, or disclosure by the U.S. Government of the Software is subject to the restrictions and protections under DFAR 252.227-7015, Technical Data-Commercial Items (Nov. 1995), and is subject to the restrictions and protections set forth in this Agreement as prescribed in DFAR 227.7202-4 (June 1995), or, as applicable, FAR 52.227-19, Commercial Computer Software-Restricted Rights (June 1987).
  10. GENERAL. This Software License Agreement is the complete and exclusive statement of the mutual understanding of the parties and supersedes any other agreement relating to the Software. This Agreement shall be construed pursuant to the laws of the State of California and the United States without regard to the conflict of laws provisions thereof and without regard to the United Nations Convention on Contracts for the International Sale of Goods. To the extent that EC law is applicable, the restriction on reverse engineering is limited to prohibit such activity to the maximum extent without violating the EC Directive on the legal protection on computer programs. No waiver of any breach of any provision of this Agreement shall constitute a waiver of any prior, concurrent or subsequent breach of the same or any other provisions hereof, and no waiver shall be effective unless made in writing and signed by an authorized representative of SAIC. If any portion hereof is found to be void or unenforceable, the remaining provisions of this Agreement shall remain in full force and effect.
